中文摘要：智慧公司作为立志打造“中国科技教育第一品牌”的一家民营高新技术企业，其产品曾入选北京市自主知识产权100强，在国内普教装备市场的渠道覆盖率名列前茅，打造了国家级课程实验室。建立之初，以能人志同道合、合作治理为基础建立了分权治理模式。但是在公司的成长期，主营业务方向发生了分歧，无人可以统领全军，两条主线平行展开，最后只好以分道扬镳为结局。但是创业之初的信念还在，终在一个大股东之下保住了研发共享和渠道共享。本文阐述企业发展各阶段影响企业控制权的因素，归纳调整企业控制权的方向，引发人们思考：对于轻资产的科技企业，如何为着使命和战略目标而把握控制权配置？如何在公司治理层面创新？
英文摘要：Guided by the strategy of building "the first brand of Chinese science and technology education", Wisdom Company once ranked top in the educational facility market as the supplier around the nation. Its products werehonored to top 100 among proprietary intellectual property rights in Beijing, and it was also granted as the national scientific& technological course lab. It taken the typical management ideas of ausual technology company in the firstpioneering days, and therefore, CEO determined totransfer the authority to the core management team to run a kind of decentralized management.Such the configuration of control right has a positive meaning for business efficiency and passionate team in the start-up period.But with the growth of enterprises, the core management team was inconsistent between each other in the development directionof main business, losing control over major senior leaders in the business decision.Wisdom company showedstrategic swing，scramble for resources, inefficiency of financial running and the board working. It wasfinally splitted led by externalstrategic investors.However, the new sub-corporationsstill shared R &D resources and sales channelsowing to theircommon entrepreneurial belief. This case inspires people to think: for an asset-light technology firm, how to coordinate corporatecontrolrights for implementing the determined corporate strategy, and how to innovate the corporate governance with the business stage switching.
