英文摘要：This case discusses the problem related to the determination of equity’s value, when one shareholder withdrawing his share. Beijing Zhiyuan Company was set up by three shareholders. They reached the agreement that sharing profit and loss according to their actual investment. In the process of investment, the capital was injected into the company in two years. However, in the first year one shareholder’s contribution was less than the agreement, he paid back the gap in the second year in accordance with the contract. After three years of delicate operation and dedication, the company had made significant development, but a venture partner suddenly proposed the withdrawal. This created the dilemma of equity liquidation and-the determination of equity’s value.
